Draft — not yet approved. Terms are contract law and need a lawyer's review before the first customer accepts them. In case of doubt the German version prevails.
Terms and Conditions
§ 1 Scope and parties
(1) These terms apply to all contracts for the use of the software-as-a-service platform Voice-Board between Voice-Board.com by Ing. Bernhard Wurm MA BSc BEd ("provider") and the customer.
(2) A customer may be an entrepreneur within the meaning of § 1 UGB, a legal entity under public law, or a consumer within the meaning of the Austrian Consumer Protection Act (KSchG). Where these terms distinguish between the two, this is stated explicitly.
(3) The customer's differing terms are rejected; they become part of the contract only if the provider agrees to them in writing.
§ 2 Conclusion of contract
(1) The presentation of plans on the website is not a binding offer but an invitation to make one.
(2) By creating a workspace or completing the order process, the customer makes a binding offer. The contract comes into effect when the provider confirms it or activates the workspace.
(3) The contract text is stored and sent to the customer by email. The contract language is German or English.
§ 3 Scope of service
(1) The provider makes the platform available to the extent following from the plan booked and the limits stated there (number of boards, storage, seats, bookable modules).
(2) The platform is provided as a service over the internet. The software is not handed over for permanent use.
(3) The provider develops the platform continuously. Features may be added, changed or removed, as long as the contractually owed core remains. Material restrictions are announced with reasonable notice.
(4) Availability: [state the committed availability, e.g. "98 % on annual average, outside announced maintenance windows" — or state explicitly that no particular availability is guaranteed].
§ 4 Account, credentials and cooperation
(1) The customer keeps their credentials confidential and does not pass them on. They inform the provider without delay if they have reason to believe a third party has obtained them.
(2) The customer is responsible for the content they, or users they invite, place on the platform. They warrant that they hold the necessary rights and infringe no third-party rights.
(3) The customer undertakes not to place unlawful, offensive or harmful content on the platform and not to load it automatically in a way that impairs operation.
§ 5 Prices and payment
(1) The prices shown on the website at the time of ordering apply. Unless stated otherwise, all prices are exclusive of statutory VAT.
(2) Billing is in advance for the chosen billing period (monthly or yearly). Payment is by credit card through our payment provider Stripe or, by agreement, by invoice with a payment term of 14 days.
(3) In the event of late payment the provider may charge statutory default interest and, after a reminder and a reasonable grace period, suspend access. The obligation to pay the agreed fee remains.
(4) The provider announces price changes in text form at least 2 months before they take effect. The customer may terminate the contract with effect from the date of the change.
§ 6 Trial period
Where a free trial is offered, it ends automatically when the stated period expires. The customer is notified beforehand. Without an active booking the workspace moves to the free plan; it is not continued on a paid basis without consent.
§ 7 Term and termination
(1) The contract runs for an indefinite period and may be terminated by either party at the end of the respective billing period — at the end of the month for monthly payment, at the end of the subscription year for yearly payment.
(2) The right to extraordinary termination for good cause remains unaffected. For the provider, good cause exists in particular in the event of substantial payment default or a serious breach of § 4.
(3) Termination is given in text form or through the function provided in the application.
§ 8 Data after the contract ends
(1) The customer can export their data themselves at any time during the term.
(2) After the contract ends the data remains retrievable for a further 30 days and is then deleted. Statutory retention obligations — in particular for invoices — remain unaffected.
§ 9 Warranty and liability
(1) The provider is liable without limitation for intent and gross negligence, and for injury to life, body or health.
(2) For slight negligence the provider is liable only for breach of a material contractual obligation, limited in amount to the typical, foreseeable damage, and at most to the fee paid in the year before the damaging event.
(3) For loss of data the provider is liable only to the extent that would have arisen had the customer performed proper and regular backups.
(4) Statutory warranty provisions apply unchanged towards consumers. Limitations of liability towards consumers are only permissible to a limited extent under Austrian law — this paragraph in particular needs careful review.
§ 10 Data protection and processing on behalf
(1) The processing of personal data is described in the privacy policy.
(2) Where the provider processes personal data on the customer's behalf, the parties conclude a data processing agreement under Article 28 GDPR. It forms part of this contract. For educational institutions the data processing agreement for schools applies; other customers receive an equivalent agreement on request.

(2) The place of jurisdiction for disputes with entrepreneurs is Rohrbach in Oberösterreich. For consumers the statutory places of jurisdiction apply.
(3) Should a provision be invalid, the validity of the remainder is unaffected.
